Terms of Service

These terms are the agreement between you and Sylphx Limited for using Spiron. By creating an account or using the service, you accept them. Please read them, especially the terms summarised first: they explain what your agents may do for you, who is responsible for it, and the limits of our liability.

Key terms

The terms that matter most.

In these terms, a consumer is an individual using Spiron wholly or mainly outside their trade, business, craft, or profession. A business customer is anyone else, including a school or other organization.

  • You are responsible for what your agents do within the instructions, approvals, permissions, and credentials you give them.
  • AI output can be wrong. Check it before you rely on it.
  • We may change the service, its features, prices, and usage limits, and suspend or end accounts, as these terms explain.
  • For business customers, our liability is limited to the fees paid in the previous 12 months, claims must be brought within one year, and the courts of England and Wales have exclusive jurisdiction.
  • If you are a consumer, your legal rights, including under the Consumer Rights Act 2015, are not affected.

The service

What Spiron is.

Spiron gives you AI agents that keep working on your behalf, for personal, family, school, and work use. You give an agent objectives, tools, credentials, and channels — such as Telegram or the web — and it works on them, using AI models, an isolated cloud computer, and the memory you let it keep. It records what it did. You can export your data and delete your account at any time.

We keep developing Spiron, and we may add, change, suspend, or remove features, AI models, integrations, and plans at our discretion. If a change materially reduces what you have paid for, we will tell you in advance where we reasonably can, and you can cancel. Features marked as preview or beta are provided as they are and may change or end at any time. We do not promise a particular uptime, and the service may be unavailable, including for maintenance.

Usage limits. We may set and change fair-use limits, AI usage limits, and rate limits, and slow or pause use that exceeds them, to protect the service and other users. We may monitor use of the service, including automatically, to detect abuse, fraud, security threats, and breaches of these terms.

Your account

You are responsible for your account.

You must be at least 18, or the age of majority where you live if that is higher, give accurate information, and not be barred from receiving the service under UK sanctions law. If you create an account for an organization, family, or school, you confirm that you may bind it to these terms, and “you” includes it. We may refuse to open an account or provide the service to anyone, at our discretion.

Keep your sign-in secure, and tell us at support@spiron.ai if you think someone else has used it. You are responsible for what happens under your account, including what the members you invite do.

What your agents do

Your agents act for you.

An agent acts on your instructions, within the tools, channels, credentials, permissions, and approval settings you give it. What it does within those — messages it sends, bookings or purchases it makes, changes it makes to your accounts — is done on your behalf, and you are responsible for it as if you had done it yourself. We are not a party to anything an agent agrees with someone else for you.

  • Require your approval for anything that costs money, cannot be undone, or reaches people for the first time. The approval settings exist for that.
  • Review the action records, and pause an agent or remove its access as soon as it does something you did not intend.
  • Do not have an agent pretend to be a person to someone who sincerely asks, and tell people they are talking to an AI agent wherever the law or the channel’s rules require it.
  • Do not use an agent for work that needs a licence, a professional qualification, or consent you do not have.

Credentials you give agents

Share only what you may, and only what the job needs.

When you give an agent a password, API key, or token, you confirm that you are allowed to use it and that the service it opens allows it to be used this way. Give each agent the least access its work needs, remove credentials it no longer needs, and change any you think has leaked.

We store credentials encrypted, and Spiron is designed to use them only when your agent calls the tool they belong to and not to show them to an AI model. You are responsible for the credentials you give and for what is done with them within the access you granted.

AI output

Check what matters.

Your agents use AI models provided by third parties. AI output can be wrong, incomplete, offensive, or out of date, even when it sounds confident, and it is not professional advice: not legal, medical, financial, or safety advice. We do not promise that output will be accurate, complete, or fit for a particular purpose. Review important output before you rely on it, and keep a person in charge of decisions that are hard to undo.

Output may be similar to what others receive. You are responsible for how you use it, including checking that your use does not infringe anyone’s rights.

Acceptable use

What you may not do.

You may not use Spiron, or let an agent be used, to:

  • break the law or help anyone else break it;
  • harm children, or create or share sexual content involving minors in any form;
  • harass, threaten, defame, deceive, or impersonate anyone;
  • send spam or unsolicited bulk messages, or message people who have not agreed to hear from you;
  • attack, probe, or overload any system, including ours, or get around usage limits, spend caps, or security controls;
  • use accounts, data, or systems you are not authorized to use, or scrape services that forbid it;
  • collect personal data without a lawful basis, or make decisions about people’s eligibility for credit, employment, housing, education, or insurance without human review;
  • create malware, weapons, or content that incites violence;
  • operate betting or gambling services;
  • copy, resell, or reverse engineer Spiron, or use it to build a competing service; or
  • break the terms of the channel, model, or other providers your agents use.

We may, without notice, pause an agent, remove or block content, or limit a feature where we reasonably believe these rules are broken or the service, our users, or others are at risk. We will usually tell you why, unless the law, security, or safety prevents it.

Content and ownership

Yours stays yours.

As between you and us, you own the content you and your agents put into Spiron, and we give you whatever rights we have in the output your agents produce for you. You confirm you have the rights to the content you provide.

You give us a worldwide, royalty-free, non-exclusive licence to host, store, copy, process, transmit, and display your content, and to let our subprocessors do so, as needed to provide, secure, support, and improve Spiron, as the Privacy Policy describes. This licence lasts while your content is in Spiron and for the limited period deleted data stays in backups. We do not use your content to train AI models.

We may create aggregated or de-identified data about how Spiron is used, which does not identify you or any other person, and use it for any purpose.

Spiron itself — its software, design, and name — belongs to us and our licensors. We give you a personal, non-exclusive, non-transferable, revocable right to use it under these terms. If you send us feedback or suggestions, you give us a perpetual, irrevocable, worldwide, royalty-free licence to use them for any purpose, without owing you anything.

Billing and refunds

What you pay, and when.

Plans and prices are on the pricing page. The Free plan costs nothing and stops at its usage limit. Paid plans are billed monthly in advance and renew each month until you cancel; card payments are processed by Stripe. Each paid plan includes a usage allowance, which does not carry over. Extra usage is not available: work pauses at the plan allowance and you are not billed beyond your plan price. Prices include VAT where it applies.

Cancelling. You can cancel at any time by emailing support@spiron.ai. Your plan stays active until the end of the month you paid for, and it does not renew.

Your 14-day right to cancel. If you are a consumer in the UK or the EU, you may cancel a new paid plan within 14 days of buying it, without giving a reason, by telling us at support@spiron.ai. Because you ask us to start the service straight away, we refund what you paid minus a proportionate amount for the service and AI usage you had before you told us, as the law provides.

Refunds. Payments are not refundable, including for part months and unused allowance, except where these terms or the law say otherwise. If you are a consumer and we did not provide the service with reasonable care and skill, you have the remedies the law gives you. If we charge you in error, tell us and we will correct it.

Price changes. We may change our prices. We will give you reasonable notice before a new price applies to your plan, and you can cancel before it does. If a payment fails, we may suspend paid features or the account until it is paid.

Third-party services

Services you connect.

Channels, tools, websites, and AI model providers your agents use are provided by third parties under their own terms, and their terms apply to your use of them. We do not control them and are not responsible for their availability, output, security, or conduct, or for changes they make that affect what your agents can do.

Processing for organizations

When we process personal data for you.

When a school, business, or other organization uses Spiron, it is the controller of the personal data its agents handle, and we are its processor. We process that data to provide Spiron, for as long as you use it; the kinds of data and the people it is about are those described in the Privacy Policy. For that data we:

  • process it only on your documented instructions — these terms, your settings, and what you tell your agents — unless the law requires otherwise, and tell you if we believe an instruction breaks data protection law;
  • make sure the people who can access it are bound to keep it confidential;
  • protect it with appropriate measures, such as those on the security page;
  • use the subprocessors listed in the Privacy Policy, under written terms with the same data protection obligations, and remain responsible for them as the law requires. You authorise us to use them and to add or replace subprocessors. We will tell you of an intended change by updating that list; if you object on reasonable data protection grounds, your remedy is to stop using Spiron and close your account;
  • help you, taking into account the nature of the processing and the information we have, to answer requests from the people the data is about (including through the export and deletion tools) and to meet your duties on security, breach notification, and data protection impact assessments. We may charge reasonable costs for help beyond the tools in the service;
  • tell you without undue delay after we become aware of a breach affecting it;
  • delete it when you delete it or close your account, as the Privacy Policy sets out, unless the law requires us to keep it. You can export it first;
  • make available the information needed to show these duties are met, and allow for audits by you or an auditor you appoint who is bound by confidentiality — on reasonable notice, at your cost, no more than once a year unless a regulator requires it or after a breach, and first by written answers and our documentation where those are enough.

Transfers of that data outside the UK or EEA follow the safeguards in the Privacy Policy. Business customers can ask for a signed data processing agreement with these terms at privacy@spiron.ai.

Suspension and termination

Ending the agreement.

You can stop using Spiron and delete your account at any time from Settings. We may suspend or end your access, in whole or in part, immediately and without notice if you break these terms, if you do not pay, if we reasonably believe your use puts us, our users, or others at risk, or if the law or a regulator requires it. We may also end this agreement for any other reason by giving you reasonable notice. Where we think it appropriate, we may give you time to export your data first.

We may also stop offering Spiron. If we do, we will give you reasonable notice and refund any fees you paid in advance for the time after it ends.

Terms that by their nature should continue after the agreement ends — including those on content, feedback, fees owed, responsibility for your agents, liability, indemnity, and disputes — continue to apply.

Our responsibility to you

The limits of our liability.

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow us to limit or exclude.

If you are a consumer, we are responsible for loss you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill. We are not responsible for loss that was not foreseeable, for business losses, or for loss caused by events outside our reasonable control. Unless we broke these terms or failed to use reasonable care and skill, we are not responsible for what an agent does within the instructions, approvals, and credentials you gave it, for AI output, or for third-party services, channels, or AI model providers. If defective digital content we supplied damages a device or digital content belonging to you, we will repair the damage or compensate you, as the law requires. Your legal rights as a consumer, including under the Consumer Rights Act 2015, are not affected.

If you are a business customer, the following each apply separately:

  • Spiron is provided “as is” and “as available”. To the extent the law allows, all warranties, conditions, and terms implied by statute or common law are excluded, including those about quality, fitness for purpose, and reasonable care and skill.
  • We are not liable, whether in contract, tort (including negligence), or otherwise, for: indirect or consequential loss; loss of profits, revenue, business, contracts, anticipated savings, or goodwill; loss or corruption of data; AI output; what an agent does within the instructions, approvals, permissions, and credentials you gave it; or third-party services, channels, or AI model providers.
  • Our total liability arising from or in connection with these terms and Spiron, in any 12-month period, is limited to the fees you paid us in the 12 months before the event giving rise to the claim.
  • You will indemnify us, and keep us indemnified, against all claims, losses, damages, fines, costs, and reasonable legal fees arising from your content, your use of Spiron, what your agents do for you, the instructions, credentials, and data you provide, or your breach of these terms or the law.

Changes, law, and disputes

Changes, law, and contact.

Changes to these terms. We may change these terms, for example to reflect changes to Spiron, our prices or providers, the law, or security needs. We will post the new version here and update the date above. If you are a consumer, we will give you reasonable notice of a material change before it applies to you, and you can cancel before then. If you are a business customer, a change applies from the date we give when we post or send it. Continuing to use Spiron after a change applies means you accept it.

Disputes. If something goes wrong, email support@spiron.ai first; we aim to settle it with you within 30 days. These terms, and any dispute about them or Spiron, are governed by the laws of England and Wales.

If you are a consumer, the courts of England and Wales have non-exclusive jurisdiction: you keep the protection of the mandatory law where you live, and you may bring a claim in the courts of Scotland or Northern Ireland, or of your EU country, if you live there.

If you are a business customer, the courts of England and Wales have exclusive jurisdiction. To the extent the law allows, you may bring a claim only in your own name, not as a claimant or member in any group or representative action, and any claim must be brought within one year after you knew, or should have known, of the facts giving rise to it.

Other terms. We may transfer this agreement, or any of our rights or duties under it, to another company, including one that takes over Spiron, and we may use subcontractors. If you are a consumer, we will tell you of a transfer, and it will not reduce your rights; you can end the agreement if you are unhappy. You may not transfer your rights or duties without our written consent. Nobody else has rights under these terms. If a court finds part of them invalid, the rest still applies. If we do not enforce a term straight away, we can still enforce it later. We are not responsible for delays or failures caused by events outside our reasonable control, including failures of AI model providers, networks, or other third parties. For business customers, these terms are the whole agreement between us about Spiron, and you have not relied on any statement not set out in them.
